We are pareIT, LLC (“pareIT”, “Us” or “We”) and we take your privacy very seriously. pareIT uses opensource and proprietary artificial intelligence and machine learning algorithms to sort legal case files and extract relevant information from medical records, including diagnoses, prognoses, treatments, and medical history (“Services”). This Privacy Policy (“Agreement”) sets forth our commitment to the users (“Users”) of the PareIT website (“Site”) regarding privacy and security of the data we receive pertaining to such Users (“User Data”). Data concerning records subjects that may be provided to Us as a service provider (“Records Subject Data”) will be governed by the privacy policy and procedures of the User that are communicated to Us in writing and agreed to by Us in writing. As to User Data, this Privacy Policy sets forth the categories of information we collect from Users pertaining to such Users and identifies, how we use such information, and how you can access the information that we have and how you may request changes or remove it.
Users are responsible for maintaining the privacy and confidentiality of data within any records submitted to Us in connection with your use of the Site or any Services and by using the Site or such Services, you represent and warrant that your privacy practices are in compliance with all applicable laws, rules and regulations concerning or related to the collection and use of personally identifiable data and medical data, as may be applicable. 

Categories of User Data Collected

pareIT, LLC collects both personally identifiable information from Users voluntarily provided to us by Users such as from our Contact Us page, email or telephone calls, and also collects other information automatically such as IP Addresses and other data related to your use of the Site or Services. This data includes your name, address, and email address. We may also collect information from your use of the Site or Services which does not identify you personally or which is stored only in the aggregate or is otherwise de-identified. 

pareIT, collects information from and about you as a user of the Site. We collect this information (a) when you register as a customer; (b) when you request Services offered by pareIT; (c) when you communicate with Us about your account; and (d) when you access the Site. The information that we collect includes your name, company name, email address, address, telephone number, billing information, URL information, IP Address, browser type, and other data relating to the sale, use and billing of our services

How We Use the Data We Collect

The information we collect relating to you will be used: (1) for the registration and management of your member account, including to provide the services that you have requested (2) for purposes of security, maintaining the Site and ensuring the best possible user experience, (3) to collect any outstanding balance on your account, (4) to enforce our rights and/or ensure your compliance with our Terms of Service, (5) to disclose your personally identifiable information as required by law and when we believe that disclosure is necessary to protect our rights and/or to comply with a judicial proceeding, court order, or legal process served on our site, (6) to communicate with you on behalf of ourselves and our marketing partners, and (7) to share your personally identifiable information with our approved marketing partners for marketing purposes related to offers that we believe you may be interested in. We require all marketing partners to comply with the Federal CAN-SPAM Act, and other applicable laws. We require that each such marketing partner provide a conspicuous opt-out link for your use to remove your information from their email list. Furthermore, if you wish us not to share your email address or other personally identifiable information you may contact us by email at info@pareIT.com.

Medical Records

This Agreement outlines only Our  privacy practices regarding our collection and use of User information. For the privacy policies and practices applicable to our Users, you are directed to the applicable User. With respect to any Records Subject Data, We are merely a service provider and your rights and exercise of such rights is governed by the applicable User. As a service provider, we have a written agreement with each User that binds us to follow the User’s privacy policies and practices. Selling any Records Subject Data is expressly prohibited. We have agreed with each User of the Site and our Services as to the handling of any data requests we receive from our Users. We may use non-personally identifiable information obtained from any Records Subject Data in accordance with HIPAA guidelines, to run largescale statistical analyses regarding the performance and use of our platform, Users, or Services.

Cookies

A cookie is a small text file that is stored on a user’s computer for record-keeping purposes. We use cookies on the Site. Cookies placed on your computer while vising the site help us understand your use of the Site and help us customize your use of the Site. We may use this information to assess appropriate tools to bring to your attention or marketing that we believe you may be interested in. By your use of the Site you consent to allow us to place cookies on your computer and to access them as you navigate our website.

We use session ID cookies which expire when you close your browser. These cookies make it easier for you to navigate our site. If you reject cookies, you may still use our site, but your ability to use some areas of our site, such as contests or surveys, will be limited.

pareIT, LLC – Under 13 Privacy Statement

pareIT does not specifically target the Site or any Services to children under 13 years of age, and children under 13 years of age are prohibited from using the Site or Services. 

Security

The security of your personal information is important to us. Information that you submit is encrypted using secure socket layer technology (SSL). Information in our possession is maintained according to generally accepted industry standards. No method of transmission over the Internet, or method of electronic storage, is 100% secure, however. Therefore, while we strive to use commercially acceptable means to protect your personal information, we cannot guarantee its absolute security.

Business Transitions

In the event We go through a business transition, such as a merger, acquisition by another company, or sale of all or a portion of our assets, your personally identifiable information will likely be among the assets transferred.

Third Party Data Collection

Use of the Site does not expose Users data to the collection by third parties directly. pareIT does not currently participate in any program to allow the sharing of data as to our user’s behavior within the pareIT, LLC systems but reserves the right to do so in the future.

Your Rights to Access, Delete or Update your Data

We may grant Users certain rights concerning their personal information, including:

  1. The right to know about the personal information the business collects or receives about them and how it is used and shared;
  2. The right to delete personal information collected from them or received about them (with some exceptions);
  3. The right to opt-out of the sale or sharing of their personal information;
  4. The right to non-discrimination for exercising their privacy rights.
  5. The right to correct inaccurate personal information that a business has about them; and
  6. The right to limit the use and disclosure of sensitive personal information collected about them.

We do endeavor to provide a methodology for our Users to exercise these rights. The personal information we collect from you as a User of the Site or our Services and how We use that information is set forth above, herein. Presently, we do not sell any personally identifiable information. We reserve the right to do so in the future and in such event we will offer you the opportunity to opt out of such sale at that time. You will not be discriminated against for the exercise of any of these rights.

Please read this software as a service agreement (“agreement”) carefully before completing your registration for the pareit service. By checking the box on our registration page, you agree that you have read, understand and agree to be bound by the terms and conditions of this agreement. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to the terms and conditions of this agreement and, in such event, “you” and “your” as used in this agreement shall refer to such entity, if you do not have such authority, or if you do not agree to all the terms and conditions in this agreement, you must not accept these terms and may not register for or use the pareit services.

A. Agreement Definitions

“You” and “your” refers to the individual or entity that has registered for pareIT services via the pareIT website displayed at https://www.pareIT.com by pareIT, LLC (“pareIT”). The pareIT software as a service (“SAAS”) services (“Services”) consist of artificial intelligence powered medical record review, document sorting and document summary, as well as any other services provided by pareIT via the pareIT System. The term “pareIT System” refers to the information, documents, pages, forms, applications and other facilities of pareIT. The term “Users” shall mean those individuals authorized by you or on your behalf to use the Services. The term “Medical Records” refers to patient records provided by you to the pareIT System for use of the pareIT Services.

B. Applicability of Agreement

This Agreement applies to any Registration for and any and all activities performed by pareIT in relation to any Service requested via the pareIT System.

C. Rights Granted

Upon pareIT’s approval of your registration and for the term of your registration you have the nonexclusive, non-assignable, royalty free, worldwide, limited right to use the pareIT System solely for the purposes intended by pareIT and subject to the terms of this Agreement. You may allow Your Users to use the pareIT System for this purpose and you are responsible for your Users’ compliance with the terms of Agreement. The Services are provided subject to the terms and conditions set forth herein.
All Services provided under this Agreement are SAAS services and are provided by allowing you remote access to certain portions of the pareIT System as may be available. You agree that you do not acquire any license to use the pareIT System or Service, or any other right or license, other than the limited right set forth in this section. Upon the termination of your account or the termination of any Services provided under this Agreement, your right to access or use the pareIT System or Services shall terminate.

D. Ownership and Restrictions

You retain all ownership and control of any Medical Records submitted to pareIT via the System for the procurement of Service. pareIT shall retain all ownership, control and intellectual property rights in and to the pareIT System and all deliverables produced by or in connection with any Service provided under this Agreement.

E. Warranties, Disclaimers and Exclusive Remedies

pareIT warrants that the pareIT System will perform in all material respects in accordance with the description of Services identified therein. In the event that any Services provided to you and paid for as agreed, are not performed as warranted, you must provide written notice to pareIT no later than five business days after the performance of such Services or the delivery of any deliverables in connection with Services provided.
PAREIT DOES NOT GUARANTEE THAT THE SERVICES WILL BE PERFORMED ERROR-FREE OR UNINTERRUPTED, OR THAT PAREIT WILL CORRECT ALL SERVICES ERRORS. YOU ACKNOWLEDGE THAT PAREIT DOES NOT CONTROL THE TRANSFER OF DATA OVER COMMUNICATIONS FACILITIES, INCLUDING THE INTERNET, AND THAT THE SERVICE MAY BE SUBJECT TO LIMITATIONS, DELAYS, AND OTHER PROBLEMS INHERENT IN THE USE OF SUCH COMMUNICATIONS FACILITIES. PAREIT IS NOT RESPONSIBLE FOR ANY DELAYS, DELIVERY FAILURES, OR OTHER DAMAGE RESULTING FROM SUCH PROBLEMS.
IN THE EVENT OF ANY BREACH OF THE ABOVE WARRANTIES, ANY LIABILITY OF PAREIT SHALL BE LIMITED TO A SERVICES FEE CREDIT TO YOU IN THE MAXIMUM AMOUNT EQUIVOLENT TO THE AMOUNT PAID BY YOU TO PAREIT FOR THE SPECIFIC APPLICABLE SERVICE FOR WHICH THE BREACH OCCURRED. THE CREDIT WILL BE PROVIDED FOR FUTURE SERVICES ONLY AND MAY NOT BE APPLIED TOWARDS ANY OUTSTANDING BALANCE FOR SERVICES OWED TO PAREIT. SUCH CREDIT SHALL BE YOUR EXCLUSIVE REMEDY, AND PAREIT’S SOLE LIABILITY, FOR ANY AND ALL BREACHES OF ANY WARRANTY SPECIFIED IN THE AGREEMENT.
TO THE EXTENT NOT PROHIBITED BY LAW, THESE WARRANTIES ARE EXCLUSIVE AND THERE ARE NO OTHER EXPRESS OR IMPLIED WARRANTIES OR CONDITIONS INCLUDING FOR HARDWARE, SYSTEMS, NETWORKS OR ENVIRONMENTS OR FOR MERCHANTABILITY, SATISFACTORY QUALITY AND FITNESS FOR A PARTICULAR PURPOSE.

F. Trial Use of the Services

From time to time, pareIT may offer certain services for trial purposes subject to the terms and conditions of the agreement. Services acquired for trial purposes are provided “as is” and pareIT does not offer any warranties for such services.

G. Indemnification

You agree to defend and indemnify pareIT from and against any liability, damage, loss, or expense (including reasonable attorneys’ fees and expenses of litigation) incurred by or imposed upon pareIT or its directors, officers, shareholders, partners or affiliates in connection with any claims, suits, actions, demands or judgments arising out of or related to the pareIT System or any Services provided to you under this Agreement under any theory of liability (including without limitation actions in the form of tort, warranty, or strict liability and regardless of whether the action has any factual basis). However, indemnification does not apply to any liability, damage, loss, or expense to the extent directly attributable to (i) the gross negligence or intentional misconduct of pareIT. For purposes certainty, any claim, action or demand by you or any third party against pareIT alleging that any Medical Records furnished by you or anyone on your behalf or for your benefit to pareIT for any reason including the procurement of Services under this Agreement, was provided, received, stored, maintained, disclosed, handled or delivered in any manner which is alleged to be a violation of any law, rule, ordinance, regulation or standard including but not limited to the Health Insurance Portability and Accountability Act of 1996 42 U.S.C. § 300gg and 29 U.S.C § 1181 et seq. and 42 USC 1320d et seq. etc., The General Data Protection Act or Regulation (GDPR), the California Consumer Privacy Act (CCPR) California Civil Code §1798.120 or other such provision shall be considered expressly included, without limitation, within the above indemnity provision. In the event of any such claim, action or demand, you shall defend and indemnify pareIT as provided above provided that pareIT notifies you at the address provided at registration, within 45 days of receipt of notice of the existence of the claim etc. and provides its assistance in the defense or settlement of the claim.

H. End of Agreement

Services provided under this software as a service agreement shall be provided for the term of your Registration unless earlier terminated in accordance with the agreement. The term of the services and any renewal years are collectively defined as the “services term.” Upon the termination of your Registration, all rights to access or use the services shall end.
If either of us breaches a material term of the agreement and fails to correct the breach within 30 days of written specification of the breach, then the breaching party is in default and the non-breaching party may terminate the Agreement. If pareIT terminates the Agreement as specified in the preceding sentence, you must pay within 30 days all amounts which have accrued prior to such end, as well as all sums remaining unpaid for the services ordered under the agreement plus related taxes and expenses. If pareIT ends the services under the Indemnification section, you must pay within 30 days all amounts remaining unpaid for services plus related taxes and expenses. The nonbreaching party may agree in its sole discretion to extend the 30 day period for so long as the breaching party continues reasonable efforts to cure the breach. You agree that if you are in default under the agreement, you may not use the services ordered.
In addition, pareIT may immediately suspend your password, account, and access to or use of the services (i) if you fail to pay pareIT as required under the agreement and do not cure within the first ten days of the 30 day cure period, or (ii) if you violate any provision within sections C, D, J or O of this software as a service agreement. pareIT may terminate the services hereunder if any of the foregoing is not cured within 30 days after pareIT’s initial notice thereof. Any suspension by pareIT of the services under this paragraph shall not excuse you from your obligation to make payment(s) under the agreement. At your request, pareIT may permit you to access the services solely to the extent necessary for you to retrieve a file of your data then contained within the System. You agree and acknowledge that pareIT has no obligation to retain your data after delivering the initial Services and that your data may be irretrievably deleted 60 days following such delivery.
Provisions that survive termination or expiration of the agreement are those relating to limitation of liability, infringement indemnity, payment, and others which by their nature are intended to survive.

I. Fees and Taxes

You agree to pay for all Services ordered via the pareIT System or otherwise as agreed on a periodic basis. All fees due under the Agreement are non-cancelable and the sums paid nonrefundable. You agree to pay any sales, value-added or other similar taxes imposed by applicable law that pareIT must pay based on the Services you ordered, except for taxes based on pareIT’s income. Any amounts not paid in advance and thereafter invoiced hereunder are due and payable within 30 days of the date of the invoice.
You agree that you have not relied on the future availability of any services, programs or updates in entering into the payment obligations in connection with the pareIT System or Services.

J. Nondisclosure

By virtue of the Agreement, pareIT understands and agrees that the Medical Records provided by you to pareIT may be confidential and subject to limited use by statute, regulation or agreement (“Confidential Information”). You warrant and assert that you have the right and authority to provide the Medical Records to pareIT for the purposes of obtaining the Services in accordance with this Agreement. pareIT shall not disclose the Medical Records of resulting deliverables to any third party other than as may be required by law such as a warrant, subpoena, national security letter or other similar device. In the event of any legal requirement or request, pareIT shall notify you a reasonable time in advance in order to allow you the opportunity to seek relief from such disclosure. Absent a court order granting such relief, the Medical Records or Deliverables may be produced.
Nothing herein shall require pareIT to maintain Medical Records, Confidential Information, deliverables, correspondence or any other documents or information beyond the time necessary to provide the Services and after that time, all such materials may be destroyed.

K. Entire Agreement

You agree that this Agreement is the complete agreement for the Services ordered by you, and that this Agreement supersedes all prior or contemporaneous agreements or representations, written or oral, regarding such Services. If any term of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain effective and such term shall be replaced with a term consistent with the purpose and intent of the agreement. In the event of any conflict between the terms set forth herein and any terms set forth in the pareIT System, these terms shall control. This Agreement may not be modified and the rights and restrictions may not be altered or waived except in a writing between the parties hereto.

L. Limitation of Liability

NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF REVENUE OR PROFITS (EXCLUDING FEES UNDER THE AGREEMENT), DATA, OR DATA USE. PAREIT’S MAXIMUM LIABILITY FOR ANY DAMAGES ARISING OUT OF OR RELATED TO THIS SAAS AGREEMENT OR ANY SERVICES PROVIDED HEREUNDER, WHETHER IN CONTRACT OR TORT, OR OTHERWISE, SHALL IN NO EVENT EXCEED, IN THE AGGREGATE, THE TOTAL AMOUNTS ACTUALLY PAID TO PAREIT FOR THE PARTICULAR APPLICABLE SERVICES DIRECTLY LEADING TO SUCH LIABILITY.

M. Other

  1. PareIT is an independent contractor and we agree that no partnership, joint venture, or agency relationship exists between us. We each will be responsible for paying our own employees, including employment related taxes and insurance.
  2. You shall obtain at your sole expense any rights and consents from third parties necessary for pareIT to perform the Services under this Agreement.
  3. This Agreement is governed by the substantive and procedural laws of the State of California and you and pareIT agree to submit to the exclusive jurisdiction of, and venue in, the courts in Los Angeles County, California as to any dispute arising out of or relating to this Agreement or any Services provided hereunder.
  4. In the event of any dispute with pareIT you will promptly send written notice to: pareIT, LLC 501 W. Olympic Blvd Unit 708, Los Angeles, CA 90015, Attention: Legal Department. pareIT may give notice to you by means of a general notice on the pareIT System, or notices specific to you by electronic mail to your e-mail address on record in pareIT’s account information or by written communication sent by first class mail or pre-paid post to your address on record in pareIT’s account information.
  5. Neither party may assign this Agreement or its rights hereunder without the express written consent of the other party, except that pareIT may assign this Agreement to any subsidiary of pareIT for any purpose and pareIT may assign this Agreement to a third party in connection with the acquisition of all or substantially all of the assets of pareIT.
  6. Except for actions for nonpayment or indemnity, no action, regardless of form, arising out of or relating to this Agreement may be brought by either party more than two years after the cause of action has accrued.
  7. pareIT shall not be responsible for failure or delay of performance if caused by: an act of war, hostility, or sabotage; act of God; electrical, internet, or telecommunication outage that is not caused by the obligated party; government restrictions (including the denial or cancellation of any export or other license); other event outside the reasonable control of pareIT. You will use reasonable efforts to mitigate the effect of a force majeure event. If such event continues for more than 30 days, you may cancel unperformed services upon written notice. This section does not excuse either party’s obligation to take reasonable steps to follow its normal disaster recovery procedures or your obligation to pay for the services.

N. Your Data

In performing the services, pareIT will comply with the pareIT Privacy Policy and is incorporated herein by this reference. The pareIT Privacy Policy is subject to change at pareIT’s discretion; however, pareIT policy changes will not result in a material reduction in the level of protection provided for your data during the period over which the Services are being provided. Your Date includes the Medical Records that you provide to pareIT in connection with the procurement of Services.
You agree to provide any notices and obtain any consents which may be necessary related to your use of the pareIT System and provision of the Services, including those related to the collection, use, processing, transfer and disclosure of personal information including Medical Records. You shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness and ownership of all of your data.

O. Restrictions on Use of the Services

You agree not to use or permit use of the services, including by uploading, emailing, posting, publishing or otherwise transmitting any material, for any purpose that may (a) menace or harass any person or cause damage or injury to any person or property, (b) involve the publication of any material that is false, defamatory, harassing or obscene, (c) violate privacy rights or promote bigotry, racism, hatred or harm, (d) constitute an infringement of intellectual property or other proprietary rights, or (f) otherwise violate applicable laws, ordinances or regulations. In addition to any other rights afforded to pareIT under the agreement, pareIT reserves the right to remove or disable access to any material that violates the foregoing restrictions. pareIT shall have no liability to you in the event that pareIT takes such action. You agree to defend and indemnify pareIT against any claim arising out of a violation of your obligations under this section.

P. Statistical Information

pareIT may compile statistical information related to the performance of the services, and may make such information publicly available, provided that such information does not incorporate your data and/or identify your confidential information or include your name or your company’s name. pareIT retains all intellectual property rights in such information.

Q. Third Party Web Sites, Content, Products and Services

pareIT may enable you to access or upload links to Web sites and access to content, products and services of third parties, including users, advertisers, affiliates and sponsors of such third parties. pareIT is not responsible for any third-party Web sites or third-party content provided on or through the services and you bear all risks associated with the access and use of such Web sites and third-party content, products and services.

R. Customer Reference

You agree (i) that pareIT may identify you as a recipient of services and use your logo in sales presentations, marketing materials and press releases, and (ii) to develop a brief customer profile for use by pareIT on pareIT.com for promotional purposes.

PareIT, LLC (“PareIT”) grants you a revocable, non-exclusive, non-transferable, limited license to download, install and use the Application solely for your personal, non-commercial purposes strictly in accordance with the terms of this Agreement. PareIT reserves all rights not expressly granted to you in this EULA. The Application is protected by copyright and other intellectual property law and treaties. PareIT or its suppliers own the title, copyright, and other intellectual property rights in the Application. The Application is licensed, not sold.

You agree not to, and you will not permit others to:

Release

You and your heirs, successors, and assigns hereby forever irrevocably release, discharge, and hold harmless pareit, our affiliates, and our and their successors and assigns, and (where applicable) their respective officers, directors, managers, members, employees, and agents (collectively, “released parties”) from, and agree not to sue any released party for, any liabilities, claims, obligations, suits, actions, demands, expenses, and damages whatsoever (collectively, “liabilities”) that you may have against any released party whether existing now or in the future, whether known or unknown, arising out of or in connection with your or a third party’s conduct related to use of the application. You understand and acknowledge that the foregoing sentence releases and discharges all liabilities, whether or not they are currently known to you, and you waive your rights under california civil code section 1542. You understand the meaning of california civil code section 1542, which reads as follows: “a general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his favor at the time of executing the release, and that if known by him or her, would have materially affected his settlement with the debtor or released party.” by agreeing to these terms and this waiver, you assume all risk arising from yet unknown claims.

Disclaimer of warranties

To the maximum extent permitted by applicable law, pareit and its suppliers provide the application and support services (if any) as is and with all faults, and hereby disclaim all other warranties and conditions, whether express, implied, or statutory, including, but not limited to, any implied warranties, duties or conditions of merchantability, of fitness for a particular purpose, of reliability or availability, of accuracy or completeness of responses, of results, of workmanlike effort, of lack of viruses, and of lack of negligence, all with regard to the application, and the provision of or failure to provide support or other services. Information, software, and related content through the application or otherwise arising out of the use of the application. Also, there is no warranty or condition of title, quiet enjoyment, quiet possession, correspondence to description, or non-infringement with regard to the software.

Exclusion of direct, incidental, consequential, and certain other damages

To the maximum extent permitted by applicable law, law, in no event shall pareit or its suppliers be liable for any direct, special, incidental, punitive, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits or confidential or other information, for business interruption, for personal injury, for loss of privacy, for failure to meet any duty including of good faith or of reasonable care, for negligence, and for any other pecuniary or other loss whatsoever) arising out of or in any way related to the use of or inability to use the application, the provision of or failure to provide support or other services, information, software, and related content through the application or otherwise arising out of the use of the application, or otherwise under or in connection with any provision of this eula, even in the event of the fault, tort (including negligence), misrepresentation, strict liability, breach of contract, or breach of warranty of pareit or any supplier, and even if pareit or any supplier has been advised of the possibility of such damages.

Modifications to application

PareIT reserves the right to modify, suspend or discontinue, temporarily or permanently, the Application or any service to which it connects, with or without notice and without liability to you.

General

This EULA is governed by the laws of the State of California and the United States of America, without regard to conflict of law principles. The United Nations Convention for the International Sale of Goods shall not apply.

Communications

In connection with your use of the Application, PareIT may send you service announcements, administrative messages, and other information about it. By using the Application, you consent to receiving email messages, text messages (e.g., SMS and/or MMS communications) and/or telephone calls, including to your wireless telephone number (s), from PareIT in connection with your use of the Application, including text messages and/or telephone calls that are automatically dialed and/or include pre-recorded messages. You may opt out of our marketing emails by clicking on the “unsubscribe” link in marketing e-mails or disabling notifications in the Application settings. You opt out of receiving text messages by replying “STOP” to the text message that you received, after which, PareIT will send you a reply message to confirm that you have been unsubscribed. Please be aware that there may be a brief period before we are able to process your opt-out requests.
Using the Application, or receiving messages related to the Application, on mobile devices may cause you to incur messaging or data charges with your wireless provider. Please be aware that PareIT has no control over these charges, and if you do not wish to be charged, you should stop using the mobile features (as applicable).

Indemnification

You hereby agree to indemnify, defend, and hold harmless PareIT, its affiliated companies, and its and their predecessors, successors, and assigns, and its and their respective directors, officers, managers, members, employees, agents, representatives, partners, and contractors from and against all claims, losses, expenses, damages and costs (including, but not limited to, reasonable attorneys’ fees), resulting from or arising out of your actual or alleged breach of these Terms, any content you provide through the Application, or your use or misuse of the Applicationn. However, you will not be responsible for claims, damages, and costs which are found by a court of competent jurisdiction to have arisen solely from PareIT’s violation of applicable law.

Term and termination

This Agreement shall remain in effect until terminated by you or PareIT.

PareIT may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.

This Agreement will terminate immediately, without prior notice from PareIT, in the event that you fail to comply with any provision of this Agreement.

You may also terminate this Agreement by deleting the Application and all copies thereof from your mobile device or from your desktop.

Upon termination of this Agreement, you shall cease all use of the Application and delete all copies of the Application from your mobile device or from your desktop.

Severability

If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force in and effect.

Amendments to this agreement

PareIT reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material, we will provide at least thirty (30) days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
